LiveConneqt Terms of Service
These Terms of Service (the "Terms") govern access to and use of LiveConneqt, The Operational Truth Platform (the "Service"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent.
1. The Service
LiveConneqt helps organizations preserve operational evidence and put it to work:
- Matters — private workspaces in which your organization preserves evidence: documents, records, and other artifacts, each recorded with provenance and integrity digests.
- Ask — AI-assisted questions answered from the evidence preserved in a Matter. Answers are grounded in your preserved evidence and cite it; they are explanations of your record, not independent factual authority.
- Binders — signed, portable evidence packages exported from a Matter, verifiable offline against their embedded integrity information.
The Service preserves what you put into it and keeps that record honest. It does not create evidence you did not provide, and it does not alter preserved evidence.
2. Accounts, Organizations, and Roles
- You must provide a working email address and keep your credentials confidential. You are responsible for activity under your account.
- An organization is the private boundary around Matters, evidence, members, and billing. Organization owners control membership, billing, and organization-level settings; members have the access their role grants.
- You must be authorized to act for the organization you create or join. If you accept these Terms on behalf of an organization, you represent that you have authority to bind it.
3. Acceptable Use
You agree not to:
- use the Service to store or distribute material you have no right to store, or material that is unlawful to possess or share;
- attempt to gain access to another organization's Matters, evidence, or account data;
- probe, disable, or circumvent security or integrity controls, including tenant isolation and append-only evidence records;
- misrepresent a Binder, an Ask answer, or any Service output as the statement or approval of a regulator or of LiveConneqt;
- resell or provide the Service to third parties except as your plan expressly allows;
- use the Service to develop a competing product by systematic extraction of its behavior or content.
We may suspend access that presents a security, legal, or operational risk to the Service or other customers. Preserved evidence is not deleted as a consequence of suspension.
4. Subscriptions and Billing
- Current prices and plan capabilities are published on the LiveConneqt pricing page. The plan version you subscribe to keeps its contracted meaning; later catalog changes never silently change what you bought.
- Paid subscriptions are billed in advance on a monthly or annual cadence through Stripe, our payment processor. Stripe holds your payment credentials; LiveConneqt never stores card data.
- Cancellation takes effect at the end of the current billing period. Until then your plan remains active; after that your organization moves to a read-mostly state in which preserved evidence remains accessible.
- Payment failure starts a 7-day grace period with full access. If payment is not restored within the grace period, the organization is suspended to a read-mostly state until payment resumes.
- Evidence is never deleted for billing reasons. Suspension and cancellation limit what you can add or do, not what has been preserved.
- Refunds are handled case-by-case through support.
5. Proof Workspace Evaluation
The free Proof Workspace lets a new organization evaluate the Service with one real Matter for the published evaluation period, without payment details. When the evaluation period ends, the workspace becomes read-mostly: evidence already preserved stays readable, and full capability returns with a paid plan. Evaluation workspaces receive the same integrity guarantees as paid plans.
6. Your Data and Ownership
- You own your evidence. All evidence, documents, and content your organization uploads or preserves remain the property of your organization. You grant LiveConneqt only the limited rights needed to operate the Service: to store, process, index, and reproduce your content for you, at your direction.
- LiveConneqt owns the platform. The Service, its software, kits, prompts, designs, and documentation are the property of LiveConneqt and its licensors. These Terms grant you no rights in them beyond use of the Service.
- We do not use your preserved evidence for marketing and we do not sell your data.
7. Not Legal Advice
LiveConneqt is not a law firm and does not provide legal advice. Binders, Ask answers, kits, and every other output of the Service are tools for organizing and explaining your evidence. They are not legal advice, are not a legal opinion, and are not approval, clearance, or acceptance by any regulator. Your organization remains solely responsible for its regulatory and legal compliance and for decisions made using the Service.
8. Disclaimers
The Service is provided "as is" and "as available." To the extent permitted by law, LiveConneqt disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that Ask answers are complete or suitable for any particular purpose.
9. Limitation of Liability
[TO BE COMPLETED BY COUNSEL] Placeholder: to the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, and LiveConneqt's aggregate liability under these Terms is capped at the amounts paid by your organization for the Service in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited by law.
10. Termination
- You may stop using the Service at any time; subscription cancellation is described in Section 4.
- We may terminate or suspend access for material breach of these Terms that remains uncured after notice, or immediately where the breach creates legal exposure or risk to other customers.
- On termination, your organization may request export of its preserved evidence through support before the account is closed. Evidence is not deleted for billing reasons; deletion follows the process described in the Privacy Policy.
11. Changes to These Terms
We may publish revised Terms. Each version is identified by a version identifier and content digest. Material changes will be notified to account holders, and continued use after the effective date of a revised, approved version constitutes acceptance. The version you accepted is recorded and remains part of your account history.
12. Governing Law and Disputes
